Terms of Service

These Terms govern your access to and use of the Alvero website and platform. By using Alvero, you agree to these Terms.

1. Who we are

Alvero Dental Systems Inc. ("Alvero"), a corporation organized under the laws of British Columbia, Canada.

2. The service

Alvero provides a multi-tenant practice operating system for dental practices, including Flight Deck, Command Centre, Doctors Portal, Staff Portal, Patient Portal, Messenger, Bookkeeper AI, Voice, and related AI agent systems. Specific features and SLAs are defined in your separate Service Agreement.

3. Accounts

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account. Notify us immediately at [email protected] of any unauthorized access.

4. Acceptable use

You agree not to:

• Use the platform for any unlawful purpose.
• Reverse engineer, decompile, or attempt to extract source code.
• Use the platform to process data you do not have lawful authority to process.
• Interfere with platform integrity, security, or other tenants' isolation.
• Use AI outputs in any way that contravenes professional, regulatory, or clinical standards of care. Doctors Portal outputs are decision-support, not clinical decisions. Every clinical action requires a licensed professional's review and approval.

5. Customer data and PHI

• You retain ownership of all data you submit to Alvero.
• You grant Alvero a limited license to process that data solely as necessary to provide the service.
• For Protected Health Information, the Data Processing Agreement ("DPA") and/or Information Manager Agreement is the controlling document.

6. AI outputs

Alvero uses large language models and other AI systems to generate insights, briefings, draft communications, and operational recommendations. AI outputs are not guaranteed to be accurate, complete, or appropriate for any specific clinical, financial, or operational decision. You are responsible for reviewing all AI outputs before acting on them. Every outbound PHI event in Messenger requires human approval.

7. Fees

Pricing is set in your Service Agreement. Fees are billed in advance and are non-refundable except where required by law.

8. Confidentiality

Each party agrees to protect the other's confidential information with no less care than it protects its own, and not less than reasonable care.

9. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW. ALVERO IS NOT A MEDICAL DEVICE AND DOES NOT PROVIDE CLINICAL DIAGNOSIS.

10. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEITHER PARTY WILL BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES. EACH PARTY'S AGGREGATE LIABILITY UNDER THESE TERMS WILL NOT EXCEED THE FEES PAID BY YOU TO ALVERO IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Term and termination

These Terms remain in effect for the duration of your Service Agreement. Either party may terminate for material breach not cured within 30 days of written notice.

12. Governing law

These Terms are governed by the laws of the Province of British Columbia and the federal laws of Canada applicable therein, without regard to conflict-of-law principles.

13. Changes

We may update these Terms; material changes will be notified to active customers at least 30 days before they take effect.
